GELYPTIC MD Terms of Service

Last Updated: October 2026 · Version 2.0

GELYPTIC MD is a product of GELYPTIC ("GELYPTIC", "we", "us", or "our").

1. Acceptance of These Terms

By creating an account, accessing, or using the GELYPTIC MD platform, developer APIs, Academy portal, or related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and, where you process Protected Health Information ("PHI"), the Business Associate Agreement ("BAA") presented at sign-up. If you use the Service on behalf of a clinic, hospital, or other organization, you represent that you are authorized to bind that organization, and "you" refers to that organization.

2. Nature of the Service

GELYPTIC MD provides an ambient AI-assisted clinical documentation tool. The platform converts audio recordings of clinician-patient consultations into structured draft medical text (such as SOAP notes), suggests ICD-10 codes, generates referral and appeal letters, and exposes these capabilities through a versioned public API. The Service is a documentation aid only and does not provide medical advice, diagnosis, or treatment.

3. Clinical Responsibility & No Medical Advice

  • The Clinician's Responsibility: GELYPTIC MD is a tool to assist with documentation, not a licensed medical professional. All output generated by the AI — including notes, suggested codes, and letters — is a draft only.
  • Final Review: The attending medical professional retains 100% sole responsibility for reviewing, editing, correcting, and verifying the accuracy of any text generated by GELYPTIC MD before entering it into an Electronic Health Record (EHR), submitting a claim, or signing off on patient care.
  • Coding Suggestions: ICD-10 code suggestions are decision support, not billing advice. A qualified clinician or certified coder must confirm every code before it appears on a claim.
  • No Liability for Clinical Decisions: GELYPTIC MD shall not be held liable for any clinical errors, omissions, misdiagnoses, or treatment mistakes resulting from unedited or unverified AI-generated text.

4. Eligibility and Accounts

  • You must be at least 18 years old and, for clinical features, a qualified healthcare professional or authorized clinic staff member.
  • You must provide accurate registration information and keep it current.
  • You are responsible for safeguarding your login credentials and API keys, and for all activity under your account. Notify us immediately of any unauthorized use.
  • Clinic owners and administrators are responsible for managing their staff's roles and access within their clinic workspace.

5. Permitted Use & Patient Consent

  • Consent Requirements: By using GELYPTIC MD, the healthcare provider or medical facility warrants that they have obtained appropriate, explicit verbal or written consent from the patient to record the consultation audio for clinical documentation purposes, in accordance with local health regulations.
  • Lawful Use Only: You will use the Service only in compliance with applicable law, including HIPAA, GDPR, and regional health-data regulations, and only for patients you are authorized to treat.
  • Prohibited Conduct: You will not (a) reverse-engineer the Service except as permitted by law; (b) upload data you have no right to process; (c) attempt to re-identify de-identified data; (d) circumvent rate limits, scopes, or access controls; (e) use the Service to build a competing product; or (f) misrepresent AI output as having been reviewed when it has not.

6. Developer API Terms

  • API access is governed by these Terms plus the published API documentation and the scopes granted to each API key.
  • API keys are confidential, shown once at creation, and must be stored securely. You are responsible for all requests made with your keys.
  • We may throttle, suspend, or revoke API access for abuse, security risk, non-payment, or breach of these Terms.
  • Sandbox environments contain synthetic data only; you must not submit real PHI to sandbox endpoints.
  • Webhook endpoints you register must be secured by you; you are responsible for verifying webhook signatures.

7. Protected Health Information and the BAA

If you are a covered entity or business associate under HIPAA and will process PHI through the Service, the BAA presented at sign-up (and available from your account) forms part of these Terms. You agree not to submit PHI to the Service unless a BAA is in effect. Each party's obligations with respect to PHI — permitted uses, safeguards, breach notification, and return or destruction of PHI at termination — are set out in the BAA.

8. Intellectual Property

GELYPTIC owns all rights in the Service, including the software, models, designs, and documentation. You retain all rights in your clinical content. You grant us a limited license to process your content solely to provide the Service to you. Feedback you provide may be used to improve the Service without obligation to you.

9. Fees and Payment

Paid plans, API usage fees, and affiliate terms are described on our pricing page or in a separate order form. Fees are non-refundable except as required by law or expressly stated. We may change pricing with at least thirty (30) days' notice.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, GELYPTIC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT AI OUTPUT WILL BE ACCURATE, COMPLETE, OR ERROR-FREE, OR THAT THE SERVICE WILL BE UNINTERRUPTED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GELYPTIC'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE FEES YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL GELYPTIC BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED BY LAW.

12. Indemnification

You will indemnify and hold harmless GELYPTIC from claims arising out of (a) your use of the Service in violation of these Terms or applicable law, (b) your failure to obtain required patient consents, and (c) clinical decisions made in reliance on unverified AI output.

13. Term and Termination

These Terms apply while you use the Service. You may close your account at any time. We may suspend or terminate access for breach, security risk, or non-payment, with notice where practicable. Upon termination, your right to use the Service ends; data return and deletion are handled as described in the Privacy Policy and any executed BAA. Sections that by their nature should survive (including Sections 3, 8, 10–12) survive termination.

14. Governing Law and Disputes

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-laws rules, unless a different governing law is specified in an executed order form or BAA. The parties will first attempt to resolve disputes informally within thirty (30) days before pursuing formal proceedings.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be announced in the app or by email at least thirty (30) days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
